TPBank nominates a former leader of the State Bank to join the Board of Directors

Ms. Nguyen Thi Mai Suong is now retired, used to be the Director of the State Bank of Vietnam, Hanoi branch, and 2 other retired people have been nominated by TPBank to the Board of Directors and Supervisory Board.

Tien Phong Commercial Joint Stock Bank (TPBank, HoSE) has just announced additional documents for the 2023 Annual General Meeting of Shareholders, including a list of personnel elected to the Board of Directors for the term 2023-2028.

The number of members expected to be elected to the Board of Directors for the term 2023-2028 is 6 members, including at least 1 independent member. The Board of Directors has at least half of the total members who are independent members and non-executive members of the credit institution.

Specifically, the list of candidates for election to the Board of Directors includes Mr. Do Minh Phu (currently the Chairman of the Board of Directors); The current 3 Vice Chairman of the Board of Directors are Mr. Le Quang Tien, Mr. Do Anh Tu, Mr. Shuzo Shikata along with 2 new members, Ms. Nguyen Thi Mai Suong and Ms. Vo Bich Ha (candidate for Independent Member).

That is, TPBank's Board of Directors will bid farewell to 3 people: Ms. Nguyen Thu Ha, Mr. Eiichiro So and Ms. Do Thi Nhung.

The number of members expected to be elected to the Supervisory Board for the term 2023-2028 is 3 members, of which the number of full-time members is at least 2.

Accordingly, the new candidate is Mrs. Nguyen Thi Thu Huong and 2 former members, Mr. Thai Duy Nghia and Ms. Nguyen Thi Thu Nguyet.

Ms. Nguyen Thi Mai Suong, 62 years old, has worked for many years at the State Bank of Vietnam and the Banking Association. Ms. Suong used to be the Director of the State Bank of Vietnam, Hanoi branch (2009-2016) and Head of the Banking Association (2016-2022), she retired according to the regime from July 2022 to present.

Ms. Vo Bich Ha, 56 years old, has 20 years working at BIDV, used to hold the position of Director of Investment Management Board, Head of Supervisory Board of the bank. Ms. Ha has retired under the regime from December 2022 to present.

Ms. Nguyen Thi Thu Huong, 56 years old, has worked for many years at the State Bank of Vietnam and BIDV. Huong used to be the Director of the Department of Inspection and Supervision of Foreign Credit Institutions, under the Banking Inspection and Supervision Agency, the State Bank from 2011-2019. From 2019-2022, Ms. Huong is a member of the Board of Directors, representing 30% of state capital at BIDV. Then from 11/2022, Ms. Huong retired according to the regime.

In addition, Mr. Thai Duy Nghia and Ms. Nguyen Thi Thu Nguyet, who are members of the Supervisory Board for the current term, also continue to run for the new term.

In 2023, TPBank targets pre-tax profit to reach VND 8,700 billion, up 11% compared to 2022. Total assets are expected to reach VND 350 trillion, up 7%. Outstanding loans and bonds to economic organizations increased by 18% to VND 215,755 billion.

The bank also plans to increase its charter capital to VND 22,016 billion, equivalent to an increase of 39% through stock dividend.
